These Terms of Service (the "Terms") constitute a legally binding agreement between you and CMR Business Services LLC (doing business as "TaskFills"), a limited liability company organized under the laws of New York, United States ("TaskFills," "we," "us," or "our"), governing your access to and use of the TaskFills platform, website, mobile applications, and related services (collectively, the "Platform") located at taskfills.com and associated domains.
IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 15 THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTION 15 CAREFULLY. THESE TERMS ALSO CONTAIN LIMITATIONS ON LIABILITY AND DISCLAIMERS OF WARRANTIES THAT MAY AFFECT YOUR RIGHTS.
By registering for, accessing, browsing, or using the Platform in any manner, including but not limited to creating an account, posting job listings, applying for jobs, uploading content, or making payments through the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not agree to these Terms, you must immediately cease all use of the Platform and refrain from accessing it in the future.

1. Definitions and Interpretation
1.1 Definitions. section_1_1_text
"section_1_1_account_term" "Account" means a user profile and registration on the Platform, which may be designated as an Employer Account or a Tasker Account.
"section_1_1_applicable_law_term" "Applicable Law" means all applicable international, national, federal, state, provincial, local, and municipal laws, statutes, regulations, ordinances, rules, treaties, directives, guidelines, and regulatory requirements, including but not limited to employment laws, labor laws, data protection laws (including GDPR, UK GDPR, CCPA, PIPEDA, Privacy Act 1988, PDPA), consumer protection laws, anti-discrimination laws, tax laws, and any other relevant legal requirements applicable to the user's jurisdiction.
"section_1_1_ccpa_term" "CCPA" means the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020, and any implementing regulations.
"section_1_1_content_term" "Content" means all information, data, text, messages, software, sound, music, video, photographs, graphics, images, tags, or other materials posted, uploaded, transmitted, or otherwise made available through the Platform, whether publicly or privately.
"section_1_1_employer_term" "Employer" (also referred to as "Gig Poster," "Recruiter," or "Hiring Entity") means any individual or entity that posts job listings, gig opportunities, or task assignments on the Platform, or that seeks to engage Taskers for work.
"section_1_1_gdpr_term" "GDPR" means the General Data Protection Regulation (EU) 2016/679 and any successor legislation.
"section_1_1_gig_term" "Gig" or "Task" means any work engagement, job opportunity, freelance project, temporary assignment, or service arrangement posted on or facilitated through the Platform.
"section_1_1_ip_term" "Intellectual Property Rights" means all intellectual property rights worldwide, including without limitation patents, copyrights, trademarks, service marks, trade secrets, know-how, database rights, design rights, domain names, moral rights, and any other intellectual property rights (registered or unregistered) and any applications for registration or rights to make such applications.
"section_1_1_personal_data_term" "Personal Data" means any information relating to an identified or identifiable natural person, as defined under applicable data protection laws.
"section_1_1_platform_fees_term" "Platform Fees" means all fees, charges, and costs imposed by TaskFills for use of the Platform, including but not limited to gig or job posting fees, applicant profile unlock fees charged to Employers, verification fees charged to Taskers for optional identity verification services, promotional feature fees, and any other fees described in Section 8.
"section_1_1_tasker_term" "Tasker" (also referred to as "Applicant," "Freelancer," "Service Provider," or "Worker") means any individual who creates a profile on the Platform to seek work opportunities, apply for gigs, or offer services to Employers.
"section_1_1_uk_gdpr_term" "UK GDPR" means the GDPR as it forms part of the law of England and Wales, Scotland, and Northern Ireland by virtue of section 3 of the European Union (Withdrawal) Act 2018.
"section_1_1_user_content_term" "User Content" means all Content submitted, posted, uploaded, or otherwise made available on the Platform by any user.
"section_1_1_verification_term" "Verification Services" means the optional identity verification, document verification, and biometric verification services offered by TaskFills or its third-party service providers, as described in Section 9.
1.2 Interpretation. In these Terms: (a) headings are for convenience only and do not affect interpretation; (b) words in the singular include the plural and vice versa; (c) words denoting any gender include all genders; (d) references to persons include individuals, corporations, partnerships, and other legal entities; (e) "including" and similar terms mean "including without limitation"; (f) references to sections refer to sections of these Terms unless otherwise specified; and (g) any ambiguity shall not be construed against the drafting party.
2. Acceptance and Modification of Terms
2.1 Binding Agreement. These Terms constitute a legally binding contract between you and CMR Business Services LLC. By accessing or using the Platform, you expressly agree to be bound by these Terms and all terms incorporated by reference, including but not limited to our Privacy Policy, Cookie Policy, Biometric Data Policy, SMS Consent Terms, and any additional terms applicable to specific features or services.
2.2 Legal Capacity. You represent and warrant that: (a) you have the legal capacity and authority to enter into these Terms; (b) you are not prohibited from accessing or using the Platform under the laws of any applicable jurisdiction; (c) if you are accepting these Terms on behalf of a company, organization, or other legal entity, you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to that entity; (d) you will comply with all Applicable Laws in your use of the Platform; and (e) all information you provide to TaskFills is accurate, current, and complete.
2.3 Right to Modify. TaskFills reserves the right, in its sole discretion, to modify, amend, update, or replace these Terms at any time, subject to Applicable Law. We will provide reasonable notice of material changes through one or more of the following methods: (a) posting a notice on the Platform; (b) sending an email to the address associated with your Account; (c) displaying a prominent notification when you log in to the Platform; or (d) publishing updated Terms with a new "Last Updated" date.
2.4 Notice Period. Material changes to these Terms will generally become effective thirty (30) days after notice is provided, unless: (a) a shorter period is required or permitted by Applicable Law; (b) the changes are necessary to comply with legal or regulatory requirements; (c) the changes address security, fraud, or technical issues requiring immediate implementation; or (d) the changes are beneficial to users and do not impose additional obligations or reduce rights.
2.5 Acceptance of Modifications. Your continued access to or use of the Platform after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform prior to the effective date. You are responsible for regularly reviewing these Terms to stay informed of updates.
2.6 Preservation of Rights. Notwithstanding the foregoing, if you reside in a jurisdiction that requires affirmative consent to material changes (such as the European Economic Area, United Kingdom, or certain states within the United States), we will obtain your affirmative consent before the modified Terms become binding on you. In such cases, continuing to use the Platform without providing affirmative consent where required may result in suspension or termination of your Account in accordance with Section 14.
2.7 Historical Versions. TaskFills will maintain historical versions of these Terms for a reasonable period, and you may request access to previous versions by contacting us using the information in Section 26.
3. Eligibility and Account Registration
3.1 Age Requirements. You must be at least eighteen (18) years of age (or the age of legal majority in your jurisdiction, whichever is greater) to create an Account and use the Platform. If you are under 18 years of age or the applicable age of majority, you are not permitted to access or use the Platform under any circumstances. By using the Platform, you represent and warrant that you meet these age requirements.
3.2 Jurisdiction-Specific Age Requirements. In jurisdictions where the age of majority is higher than 18, you must meet that higher age requirement. For example, users in British Columbia, Canada, must be at least 19 years old. It is your responsibility to ensure compliance with the age requirements in your jurisdiction.
3.3 Account Creation. To access certain features of the Platform, you must create an Account by providing accurate, current, and complete information as requested in the registration process. You agree to: (a) provide truthful and accurate information; (b) maintain and promptly update your Account information to keep it accurate and current; (c) maintain the security and confidentiality of your login credentials; (d) accept all risks of unauthorized access to your Account; and (e) immediately notify TaskFills of any unauthorized use of your Account or any other breach of security.
3.4 Account Types. The Platform offers two primary Account types: (a) Employer Accounts, which allow users to post job listings and access Tasker profiles; and (b) Tasker Accounts, which allow users to create profiles, apply for jobs, and offer services. Users may maintain both types of Accounts provided they comply with these Terms for each Account type. Some features and obligations differ based on Account type, as described throughout these Terms.
3.5 Account Responsibility. You are solely responsible and liable for all activities conducted through your Account, whether or not you authorized such activities. You agree not to: (a) share your Account credentials with any third party; (b) allow any third party to access your Account; (c) create an Account using a false identity or information; (d) create an Account for anyone other than yourself without permission; (e) use another person's Account without permission; (f) create multiple Accounts for the purpose of manipulating the Platform, evading fees, circumventing suspensions, or violating these Terms; or (g) transfer, sell, or assign your Account to another party without TaskFills' prior written consent.
3.6 Work Authorization and Eligibility. You are solely responsible for ensuring that you have all necessary work authorizations, permits, licenses, registrations, and legal permissions required to: (a) work in your jurisdiction of residence; (b) work in any jurisdiction where you accept gigs; (c) perform the type of work you offer or accept through the Platform; and (d) comply with all immigration, employment, labor, and tax laws applicable to you. TaskFills does not verify work authorization, immigration status, or legal eligibility to work, and makes no representations regarding any user's work authorization status.
3.7 Professional Licenses and Certifications. If your jurisdiction, profession, or the specific work you perform requires professional licenses, certifications, permits, or registrations (such as for healthcare, legal services, financial services, construction, transportation, or other regulated professions), you represent and warrant that you possess all such required credentials, that such credentials are current and in good standing, and that you will maintain such credentials for the duration of your use of the Platform. You agree to immediately notify TaskFills and any affected Employers if your credentials expire, are suspended, or are revoked.
3.8 Verification of Information. TaskFills reserves the right, but has no obligation, to verify any information you provide, including but not limited to your identity, age, work authorization, professional credentials, educational background, work history, or other qualifications. You agree to cooperate with any such verification requests and to provide additional documentation upon request. Failure to cooperate or provision of false or misleading information may result in immediate Account suspension or termination.
3.9 Account Security. You must: (a) choose a strong, unique password for your Account; (b) not use the same password for the Platform as you use for other services; (c) enable two-factor authentication if available; (d) log out of your Account when using shared or public computers; (e) not store your password in an unsecured manner; and (f) immediately change your password and notify TaskFills if you suspect or become aware of any unauthorized access to your Account.
3.10 Background Checks. TaskFills does not conduct background checks, criminal record checks, credit checks, or employment verification checks on users. Employers are solely responsible for conducting any background checks, reference checks, or other due diligence they deem necessary before engaging Taskers, subject to Applicable Law including but not limited to the U.S. Fair Credit Reporting Act, state "ban the box" laws, and equivalent international requirements. Taskers consent to Employers conducting such checks, subject to Applicable Law requiring separate consent or notice.
3.11 Corporate and Entity Accounts. If you create an Account on behalf of a company, organization, or other legal entity: (a) you represent and warrant that you are authorized to bind that entity to these Terms; (b) the entity agrees to be bound by these Terms; (c) you will ensure that all individuals who access the Account on behalf of the entity comply with these Terms; (d) the entity is responsible for all activities conducted through the Account; and (e) you will maintain documentation of your authority to act on behalf of the entity and provide such documentation to TaskFills upon request.
4. Platform Purpose and Marketplace Model
4.1 Marketplace Role. TaskFills operates exclusively as an online marketplace platform that facilitates connections between Employers seeking to engage workers for gigs and Taskers seeking work opportunities. TaskFills is an information technology service provider and is not: (a) an employment agency; (b) a staffing company; (c) a recruiting firm; (d) a professional employer organization (PEO); (e) a temporary employment agency; (f) an employer of any user; (g) a party to any employment, contractor, or work relationship between users; (h) responsible for any work performed by Taskers; or (i) responsible for any employment decisions made by Employers.
4.2 No Employment Relationship. TaskFills expressly disclaims any employment, agency, partnership, joint venture, or other contractual relationship with any user of the Platform. No user is an employee, agent, or representative of TaskFills. TaskFills does not: (a) employ, hire, supervise, direct, or control any Taskers; (b) set wages, rates, or compensation for work performed by Taskers; (c) provide work schedules or assignments to Taskers; (d) require Taskers to accept any particular gig or work opportunity; (e) provide tools, equipment, or materials to Taskers (except access to the Platform itself); (f) train or instruct Taskers on how to perform work; (g) withhold taxes from Tasker payments (except as may be required by law for certain payment processing arrangements); or (h) provide employee benefits to Taskers.
4.3 User-to-User Relationships. All work arrangements, employment relationships, independent contractor relationships, payment arrangements, and other contractual or business relationships are exclusively between Employers and Taskers. TaskFills is not a party to any such arrangements and has no control over, and makes no representations regarding: (a) the quality, safety, legality, or suitability of any work performed; (b) the accuracy, completeness, or truthfulness of job listings or user profiles; (c) the qualifications, skills, background, reliability, or suitability of any Tasker; (d) the ability or willingness of Employers to pay for work performed; (e) the working conditions, safety, or environment provided by Employers; (f) whether any user will actually complete a transaction initiated through the Platform; or (g) the legal characterization of any relationship between users (including whether a relationship constitutes employment, independent contracting, or another legal relationship).
4.4 Platform Services. TaskFills provides the following services: (a) hosting a technology platform that allows Employers to post job listings and Taskers to create profiles and apply for jobs; (b) processing Platform Fees for use of the Platform; (c) processing applicant profile unlock fees paid by Employers and, where applicable, distributing a designated portion of those unlock fees to eligible verified Taskers, all as more fully described in Section 8; (d) optional identity verification services as described in Section 9; (d) messaging and communication tools for users to interact with each other; (e) search and filtering functionality; (f) analytics and reporting features; and (g) customer support for Platform-related technical issues. TaskFills does not provide: (i) payment processing for work compensation (compensation is paid directly between users outside the Platform); (ii) dispute resolution services for gig-related disputes between users; (iii) insurance or bonding for work performed; (iv) guarantees regarding work quality or completion; or (v) legal, tax, or professional advice.
4.5 Independence of Users. Each user is an independent business entity or individual responsible for their own decisions, actions, and obligations. Users have no authority to bind TaskFills to any obligation, make representations on behalf of TaskFills, or create any liability for TaskFills. Users must make their own independent judgments and decisions regarding: (a) whether to post a job listing or apply for a gig; (b) the terms and conditions of any work arrangement; (c) compensation and payment terms; (d) work hours and schedules; (e) performance standards and expectations; (f) background checks or other due diligence; and (g) compliance with all Applicable Laws.
4.6 Legal Compliance by Users. Users are solely responsible for ensuring their use of the Platform and all work arrangements comply with all Applicable Laws in all relevant jurisdictions, including but not limited to laws regarding: (a) employment classification (employee vs. independent contractor); (b) minimum wage and overtime; (c) workplace safety and health (OSHA, WSHA, etc.); (d) workers' compensation insurance; (e) unemployment insurance; (f) tax withholding, reporting, and payment; (g) anti-discrimination and equal opportunity; (h) background checks and hiring practices; (i) data protection and privacy; (j) immigration and work authorization; (k) professional licensing and regulation; and (l) any other relevant legal requirements. TaskFills provides no guidance, advice, or assurances regarding legal compliance.
4.7 Classification Determinations. The determination of whether a Tasker is an employee or an independent contractor of an Employer is a complex legal question that depends on multiple factors and varies by jurisdiction. TaskFills makes no determination regarding, and takes no position on, the proper legal classification of any working relationship between users. Users are solely responsible for making this determination in accordance with Applicable Law and should consult with qualified legal and tax professionals. The classification of a Tasker's relationship with an Employer does not affect or determine the Tasker's relationship with TaskFills, which is always that of an independent platform user and never that of an employee.
4.8 No Guarantees. TaskFills does not guarantee that: (a) Employers will find suitable Taskers; (b) Taskers will find work opportunities; (c) job listings will result in successful engagements; (d) applications will be reviewed or responded to; (e) work will be completed to any party's satisfaction; (f) payment will be made for work performed; (g) users will comply with their legal obligations; (h) users will adhere to the terms of their private agreements; or (i) any particular outcome will result from use of the Platform.
5. User Roles and Responsibilities
5.1 Employer Responsibilities
Employers who use the Platform to post job listings or engage Taskers agree to the following responsibilities and obligations:
5.1.1 Accurate Job Postings. Employers must ensure that all job listings, gig descriptions, and task postings are accurate, complete, truthful, and not misleading. Job postings must clearly and accurately describe: (a) the nature of the work; (b) required qualifications and skills; (c) work location or remote work arrangements; (d) expected duration or time commitment; (e) compensation structure and payment terms; (f) any required tools, equipment, licenses, or certifications; (g) working conditions and environment; (h) physical requirements or demands; (i) reporting relationships and supervision; and (j) any other material terms relevant to the opportunity.
5.1.2 Legal Compliance. Employers are solely responsible for ensuring compliance with all Applicable Laws in all relevant jurisdictions, including but not limited to:
(a) section_5_1_2_a_term (a) Employment and Labor Laws: Compliance with employment classification requirements, minimum wage laws, overtime laws, wage payment laws, payroll tax requirements, unemployment insurance, workers' compensation insurance, employee benefits laws, labor union laws, and collective bargaining agreements.
(b) section_5_1_2_b_term (b) Anti-Discrimination Laws: Compliance with federal, state, provincial, and local anti-discrimination laws including but not limited to Title VII of the Civil Rights Act, Americans with Disabilities Act (ADA), Age Discrimination in Employment Act (ADEA), Genetic Information Nondiscrimination Act (GINA), equal pay laws, and equivalent international laws (UK Equality Act 2010, EU Equal Treatment Directives, Australian Fair Work Act, etc.).
(c) section_5_1_2_c_term (c) Workplace Safety: Compliance with occupational safety and health laws (OSHA in the U.S., HSWA in the UK, WHS Act in Australia, etc.), provision of safe working conditions, implementation of required safety protocols, provision of necessary protective equipment, and maintenance of required safety documentation.
(d) section_5_1_2_d_term (d) Background Check Laws: Compliance with laws regulating employment background checks, including the Fair Credit Reporting Act (FCRA), state "ban the box" laws, and international equivalents, including obtaining required consents, providing required notices, and following required procedures.
(e) section_5_1_2_e_term (e) Data Protection and Privacy: Compliance with data protection laws when handling applicant and worker personal data, including GDPR, UK GDPR, CCPA, PIPEDA, Privacy Act 1988, PDPA Singapore, APPI Japan, and other applicable privacy regulations.
(f) section_5_1_2_f_term (f) Immigration and Work Authorization: Verification of work authorization as required by law (Form I-9 in the U.S., Right to Work checks in the UK, etc.) and compliance with all immigration laws.
(g) section_5_1_2_g_term (g) Industry-Specific Regulations: Compliance with any industry-specific regulations applicable to the work being performed, including healthcare regulations (HIPAA, etc.), financial services regulations, transportation regulations, food safety regulations, and others.
5.1.3 Verification and Due Diligence. Employers are solely responsible for verifying the qualifications, credentials, background, experience, work authorization, and suitability of any Tasker they choose to engage. This includes conducting background checks, reference checks, credential verification, skills assessments, and any other due diligence the Employer deems necessary or as required by Applicable Law. TaskFills does not verify, validate, or endorse any Tasker's qualifications, credentials, or suitability, and Employer's use of TaskFills' optional Verification Services does not eliminate the Employer's obligation to conduct their own due diligence.
5.1.4 Payment Obligations. Employers are solely responsible for all payment obligations to Taskers for work performed, including: (a) determining appropriate compensation; (b) agreeing to payment terms with Taskers; (c) paying Taskers in full and on time according to agreed terms and Applicable Law; (d) complying with minimum wage and overtime requirements; (e) making all required tax withholdings and payments; (f) issuing required tax forms (W-2, 1099, T4, P60, etc.); (g) maintaining required payroll records; and (h) responding to wage claims or disputes. TaskFills is not responsible for and does not facilitate payment of work compensation between users. In addition, Employers are solely responsible for paying all applicable Platform Fees incurred by their use of the Platform, including without limitation gig or job posting fees and applicant profile unlock fees as described in Section 8.
5.1.5 Applicant Unlock Fees. Employers acknowledge and agree that certain Platform features allow Employers to 'unlock' additional information about Taskers (such as Premium or Elite profiles) in exchange for paying an applicant profile unlock fee to TaskFills. Employers are solely responsible for all such unlock fees, and no portion of any unlock fee constitutes compensation for work performed by Taskers.
5.1.6 Workplace Conditions. Employers must: (a) provide safe working conditions; (b) comply with all occupational safety and health requirements; (c) provide necessary training and supervision; (d) provide required safety equipment and protective gear; (e) maintain required insurance coverage (workers' compensation, liability, etc.); (f) implement required safety protocols and emergency procedures; (g) report workplace injuries as required by law; and (h) maintain a work environment free from harassment, discrimination, and retaliation.
5.1.7 Professional Conduct. Employers must maintain professional conduct in all interactions with Taskers and other users, including: (a) communicating clearly and professionally; (b) responding to applications and messages in a timely manner; (c) not making false promises or misleading statements; (d) honoring commitments and agreements; (e) providing accurate feedback and ratings; (f) not engaging in harassment, discrimination, or retaliation; and (g) treating all applicants and workers with dignity and respect.
5.1.8 Data Protection. Employers must handle all Personal Data of Taskers obtained through the Platform in accordance with all Applicable Laws, including but not limited to: (a) collecting only necessary data; (b) using data only for legitimate hiring and employment purposes; (c) implementing appropriate security measures; (d) not sharing data with third parties without consent (except as permitted by law); (e) providing required privacy notices; (f) honoring data subject rights (access, correction, deletion, etc.); (g) retaining data only as long as necessary; and (h) complying with data breach notification requirements.
5.1.9 Tools and Equipment. Unless otherwise clearly agreed with Taskers in writing, Employers are responsible for providing or ensuring the availability of all tools, equipment, materials, and resources necessary for Taskers to perform the work. Job postings must clearly specify: (a) what tools or equipment the Employer will provide; (b) what tools or equipment Taskers must provide themselves; (c) any costs that will be reimbursed; and (d) any specialized equipment or software required.
5.1.10 Record Keeping. Employers must maintain all records required by Applicable Law, including but not limited to: (a) payroll records; (b) tax withholding and payment records; (c) time and attendance records; (d) safety training and incident records; (e) employment eligibility verification (I-9 forms, etc.); (f) background check records and disclosures; and (g) any other records required by employment, labor, tax, or safety laws. Records must be maintained for the periods required by law and made available to government agencies upon lawful request.
5.1.11 Insurance and Liability. Employers are responsible for obtaining and maintaining appropriate insurance coverage as required by law or prudent business practice, including but not limited to: (a) workers' compensation insurance; (b) general liability insurance; (c) professional liability insurance; (d) commercial auto insurance (if applicable); and (e) any other insurance required by law or contract. Employers are solely liable for all injuries, damages, losses, or claims arising from work performed by Taskers.
5.2 Tasker Responsibilities
Taskers who use the Platform to seek work opportunities agree to the following responsibilities and obligations:
5.2.1 Accurate Profiles. Taskers must create and maintain accurate, complete, truthful, and not misleading profiles that honestly represent their: (a) skills, qualifications, and experience; (b) educational background and degrees obtained; (c) professional licenses, certifications, and credentials; (d) work history and employment background; (e) availability and geographic location; (f) language proficiencies; (g) technical skills and competencies; and (h) any other information material to Employers' hiring decisions.
5.2.2 Independent Contractor Status. Taskers acknowledge and agree that: (a) they are independent contractors in their relationship with TaskFills and are not employees, agents, or partners of TaskFills; (b) they have no authority to bind TaskFills; (c) they are responsible for their own business decisions and operations; (d) they control how, when, and where they perform work for Employers; (e) TaskFills does not supervise, direct, or control their work; (f) they are free to accept or reject any work opportunity; (g) they may work for multiple clients simultaneously; and (h) they are responsible for their own taxes, insurance, and business expenses.
5.2.3 Tax Obligations. Taskers are solely responsible for: (a) determining their tax obligations in all relevant jurisdictions; (b) reporting all income from work obtained through the Platform; (c) paying all applicable income taxes, self-employment taxes, sales taxes, VAT, GST, and other taxes; (d) making estimated tax payments as required; (e) maintaining tax records and receipts; (f) filing all required tax returns and reports; (g) obtaining any necessary tax identification numbers; and (h) consulting with qualified tax professionals. TaskFills does not provide tax advice and is not responsible for any tax obligations or liabilities of Taskers.
5.2.4 Work Authorization and Legal Compliance. Taskers must: (a) possess all necessary legal authorization to work in any jurisdiction where they accept work; (b) comply with all immigration laws and regulations; (c) obtain and maintain all required professional licenses, permits, and certifications; (d) comply with all applicable labor, employment, tax, and business laws; (e) immediately notify Employers if their work authorization or professional credentials expire, are suspended, or are revoked; and (f) decline work for which they lack proper authorization or credentials.
5.2.5 Professional Conduct and Work Performance. Taskers must: (a) perform all accepted work with reasonable care, skill, and diligence; (b) meet agreed-upon deadlines and quality standards; (c) communicate clearly and professionally with Employers; (d) respond promptly to messages and requests; (e) follow Employer's reasonable instructions and requirements; (f) maintain confidentiality of Employer's proprietary or confidential information; (g) not engage in harassment, discrimination, or unprofessional behavior; (h) report safety concerns or hazards; (i) not accept work they are unqualified or unable to perform; and (j) provide honest and accurate information to Employers at all times.
5.2.6 Tools and Equipment. Unless the Employer specifically agrees to provide tools, equipment, or materials, Taskers are responsible for: (a) providing their own tools, equipment, and materials necessary to perform work; (b) ensuring all equipment is properly maintained and safe to use; (c) obtaining necessary software licenses; (d) maintaining reliable internet connectivity (for remote work); (e) providing their own workspace (for remote work); and (f) covering the costs of tools, equipment, and supplies unless otherwise agreed with the Employer.
5.2.7 Insurance. Taskers are strongly encouraged to obtain appropriate insurance coverage for their business activities, which may include: (a) general liability insurance; (b) professional liability or errors and omissions insurance; (c) business property insurance; (d) commercial auto insurance (if using a vehicle for work); and (e) any other insurance appropriate for their profession or industry. TaskFills does not provide insurance coverage for Taskers, and Taskers accept all risks associated with their work.
5.2.8 Background Checks and Verification. Taskers acknowledge and consent to: (a) Employers conducting background checks, reference checks, and other due diligence; (b) TaskFills conducting optional identity verification as described in Section 9; (c) disclosure of their profile information to potential Employers who unlock their profiles; and (d) sharing information as necessary for legitimate hiring purposes, subject to Applicable Law.
5.2.9 Payment and Invoicing. Taskers are responsible for: (a) negotiating payment terms directly with Employers; (b) tracking their work hours and deliverables; (c) submitting invoices or time records to Employers as agreed; (d) following up on unpaid invoices; (e) resolving payment disputes directly with Employers; and (f) seeking legal remedies for unpaid work if necessary. TaskFills does not guarantee payment for work performed and is not responsible for payment disputes between users.
5.2.10 Application Materials Truthfulness. All resumes, cover letters, portfolios, work samples, references, and other application materials submitted through the Platform must be truthful and accurate. Taskers must not: (a) falsify educational credentials or degrees; (b) claim credentials or licenses they do not possess; (c) exaggerate work experience or accomplishments; (d) submit work samples they did not create; (e) provide false references; or (f) misrepresent their skills or qualifications in any manner.
5.2.11 Continuous Learning and Development. Taskers are encouraged to: (a) maintain and update their professional skills; (b) stay current with industry standards and best practices; (c) pursue relevant training and certifications; (d) seek feedback and improve performance; and (e) maintain professional competence in their field.
5.3 Mutual Responsibilities
All users, whether Employers or Taskers, agree to:
5.3.1 Good Faith Dealings. Conduct all interactions and transactions with honesty, integrity, and good faith, dealing fairly with other users and honoring commitments made through the Platform.
5.3.2 Accurate Information. Provide truthful, accurate, and complete information in all communications, profiles, job postings, applications, and other Content submitted through the Platform.
5.3.3 Respectful Communication. Communicate professionally and respectfully with all users, avoiding harassment, discrimination, abusive language, threats, or other inappropriate conduct.
5.3.4 Privacy and Confidentiality. Respect the privacy of other users, maintain confidentiality of sensitive information obtained through the Platform, and comply with all data protection requirements.
5.3.5 Platform Rules. Compile with all Platform rules, policies, and these Terms, and cooperate with TaskFills investigations of potential violations.
6. Prohibited Conduct and Content Standards
6.1 Prohibited Activities. Users are strictly prohibited from engaging in the following activities on or through the Platform:
6.1.1 Illegal Activities. Using the Platform for any purpose that violates any Applicable Law, including but not limited to: (a) posting jobs for illegal services or activities; (b) offering illegal services; (c) facilitating illegal transactions; (d) engaging in illegal employment practices; (e) violating immigration laws; (f) tax evasion or fraud; (g) money laundering; (h) trafficking of persons; (i) child labor violations; (j) forced labor or slavery; (k) violating sanctions or export control laws; or (l) any other criminal activity.
6.1.2 Fraudulent Conduct. Engaging in fraud, misrepresentation, or deceptive practices, including but not limited to: (a) creating fake accounts or profiles; (b) impersonating another person or entity; (c) providing false information in profiles, job postings, or applications; (d) falsifying credentials, licenses, or qualifications; (e) submitting fabricated work samples or portfolios; (f) providing false references; (g) misrepresenting employment terms or compensation; (h) creating misleading job postings; (i) fraudulent payment schemes; or (j) any other deceptive or dishonest conduct.
6.1.3 Discrimination and Harassment. Engaging in discrimination or harassment based on protected characteristics, including but not limited to: (a) posting discriminatory job listings; (b) making discriminatory hiring decisions; (c) harassment based on race, color, national origin, religion, sex, gender, gender identity, sexual orientation, age, disability, genetic information, marital status, pregnancy, veteran status, or any other characteristic protected by Applicable Law; (d) creating a hostile environment; (e) retaliation against individuals who report discrimination or harassment; or (f) any other discriminatory or harassing conduct prohibited by law.
6.1.4 Abusive or Threatening Behavior. Engaging in abusive, threatening, or violent conduct, including but not limited to: (a) threats of violence or harm; (b) stalking or intimidation; (c) bullying or coercion; (d) verbal abuse or profane language; (e) doxxing (publishing private information without consent); (f) encouraging or inciting violence or illegal activity; or (g) any conduct that creates a reasonable fear of harm or safety concerns.
6.1.5 Intellectual Property Violations. Infringing or violating the intellectual property rights of others, including but not limited to: (a) uploading Content that infringes copyright, trademark, patent, or other IP rights; (b) using others' work samples, portfolios, or creative works without permission; (c) unauthorized use of trademarks or logos; (d) plagiarism or passing off others' work as your own; (e) violating trade secret rights; or (f) any other IP infringement.
6.1.6 Spam and Unsolicited Communications. Sending spam, unsolicited messages, or bulk communications, including but not limited to: (a) mass messaging users without consent; (b) sending commercial messages unrelated to legitimate gig opportunities; (c) posting duplicate or repetitive job listings; (d) creating multiple accounts to circumvent messaging limits; (e) using automated systems to send messages; or (f) any other form of spam or unwanted communication.
6.1.7 Fee Circumvention. Attempting to circumvent or avoid Platform Fees, including but not limited to: (a) encouraging or requesting users to conduct transactions outside the Platform to avoid fees; (b) sharing contact information prematurely to bypass Platform systems; (c) creating arrangements to avoid profile unlock fees; (d) using multiple accounts to abuse free trial or promotional offers; (e) chargebacks or payment disputes made in bad faith; or (f) any other scheme to avoid legitimate Platform Fees.
6.1.8 Platform Manipulation. Attempting to manipulate, exploit, or abuse Platform systems, including but not limited to: (a) artificially inflating profile views, ratings, or rankings; (b) creating fake reviews or ratings; (c) vote manipulation or review fraud; (d) using bots, scripts, or automated tools to interact with the Platform; (e) creating multiple accounts to manipulate search results or visibility; (f) attempting to reverse engineer or decompile Platform code; (g) exploiting bugs, vulnerabilities, or loopholes; or (h) any other form of system manipulation or abuse.
6.1.9 Malicious Content. Uploading or transmitting harmful content, including but not limited to: (a) malware, viruses, trojans, or other malicious code; (b) phishing links or scam websites; (c) content designed to compromise security or privacy; (d) scripts or code that interfere with Platform functionality; (e) content that exploits vulnerabilities; or (f) any other harmful or malicious content.
6.1.10 Inappropriate Content. Posting inappropriate or offensive content, including but not limited to: (a) sexually explicit content, pornography, or nudity; (b) excessively violent or graphic content; (c) hate speech or extremist content; (d) content glorifying or promoting self-harm or suicide; (e) content exploiting or endangering minors; (f) gratuitously offensive or shocking content; or (g) any other content that violates community standards or is inappropriate for a professional platform.
6.2 Prohibited Job Postings. Employers are specifically prohibited from posting job listings for:
(a) Illegal services, activities, or employment contrary to law;
(b) Work that requires workers to engage in illegal activities;
(c) Multi-level marketing (MLM), pyramid schemes, or similar schemes;
(d) "Work from home" scams or deceptive business opportunities;
(e) Adult entertainment or sexually explicit services;
(f) Services involving exploitation of vulnerable populations;
(g) Positions that do not offer genuine employment or contractor opportunities;
(h) Jobs that primarily require upfront payments or fees from workers (except as legitimately required for business formation, licensing, or bonding);
(i) Discriminatory job postings that unlawfully limit opportunities based on protected characteristics;
(j) Job postings containing false, misleading, or deceptive information about the nature of the work, compensation, or employer identity.
6.3 Prohibited Data Practices. Users must not:
(a) Scrape, harvest, or collect data from the Platform using automated means without express written permission;
(b) Use data obtained from the Platform for purposes other than legitimate hiring or work-seeking activities;
(c) Build databases of user information for sale or commercial exploitation;
(d) Share, sell, or license access to user data obtained through the Platform;
(e) Use user data for marketing, advertising, or promotional purposes unrelated to legitimate job opportunities;
(f) Retain user data longer than necessary for legitimate business purposes;
(g) Use user data in violation of applicable privacy or data protection laws.
6.4 Content Standards. All Content posted on the Platform must:
(a) Be accurate, truthful, and not misleading;
(b) Comply with all Applicable Laws in all relevant jurisdictions;
(c) Not infringe or violate any third-party rights;
(d) Be appropriate for a professional platform;
(e) Not contain malicious code or harmful elements;
(f) Not violate any Platform policies or these Terms.
6.5 Enforcement. TaskFills reserves the right, but has no obligation, to: (a) monitor Content and user activities on the Platform; (b) investigate suspected violations of these Terms; (c) remove or disable access to Content that violates these Terms; (d) suspend or terminate Accounts that violate these Terms; (e) report illegal activities to law enforcement; (f) preserve evidence of violations; and (g) take any other action necessary to enforce these Terms or comply with legal obligations. Users have no right to prior notice before TaskFills removes Content or suspends Accounts, though TaskFills will generally attempt to provide notice where reasonably practicable and legally permissible.
6.6 User Reporting. Users are encouraged to report suspected violations of these Terms, illegal activity, or inappropriate Content using the reporting tools provided on the Platform or by contacting TaskFills at the contact information in Section 26. TaskFills will investigate reports and take appropriate action, but cannot guarantee specific outcomes or responses to every report.
7. Platform Integrity and Security
7.1 Prohibited Activities. Users must not engage in any activity that compromises the integrity, security, or operation of the Platform. Prohibited activities include, but are not limited to:
7.1.1 Unauthorized Access. Attempting to access, use, or probe the Platform's systems, servers, databases, or infrastructure without authorization, including: (a) attempting to bypass security measures or authentication systems; (b) probing for vulnerabilities or security weaknesses; (c) unauthorized scanning or testing of Platform systems; (d) attempting to gain access to restricted areas; or (e) any other unauthorized access attempt.
7.1.2 Reverse Engineering and Decompiling. Reverse engineering, disassembling, decompiling, or attempting to derive source code, algorithms, or trade secrets from the Platform's software, code, or infrastructure.
7.1.3 Automated Data Collection. Using automated tools, bots, scrapers, crawlers, or other mechanisms to collect, extract, or scrape data from the Platform without express written permission, including but not limited to: (a) web scraping or data harvesting; (b) using bots to create accounts or perform transactions; (c) automated profile collection; (d) using scripts to download or copy Platform content; or (e) any other unauthorized automated data collection.
7.1.4 Network Interference. Interfering with the normal operation of the Platform's networks, systems, or infrastructure, including but not limited to: (a) flooding or overloading servers; (b) packet sniffing or network monitoring; (c) connection hijacking; (d) interference with network protocols; or (e) any other network interference.
7.1.5 Malware and Malicious Code. Creating, transmitting, or uploading viruses, malware, trojans, worms, ransomware, or other malicious code designed to harm, interfere with, or exploit the Platform or users' devices.
7.1.6 Denial-of-Service Attacks. Launching or participating in denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks or any other cyber attacks designed to disrupt Platform availability.
7.1.7 Account Compromise. Attempting to gain unauthorized access to other users' Accounts, including but not limited to: (a) credential stuffing; (b) brute force attacks; (c) phishing; (d) password guessing; (e) exploiting session tokens; or (f) any other Account compromise technique.
7.1.8 Feature Manipulation. Manipulating, exploiting, or abusing Platform features or functionality, including but not limited to: (a) exploiting bugs or vulnerabilities; (b) circumventing restrictions or rate limits; (c) manipulating matching algorithms; (d) artificially inflating metrics; or (e) any other form of feature manipulation.
7.1.9 Fee Circumvention. Attempting to bypass, circumvent, or avoid Platform Fees through technical means, including but not limited to: (a) spoofing or manipulating payment information; (b) exploiting billing system vulnerabilities; (c) using technical tricks to access paid features without payment; or (d) any other technical fee circumvention.
7.1.10 User Access Interference. Interfering with other users' access to the Platform, including but not limited to: (a) harassing or threatening users to prevent their use; (b) reporting other users' Accounts in bad faith; (c) creating technical obstacles to other users' access; or (d) any other interference with user access.
7.2 Security Cooperation. Users agree to cooperate fully with TaskFills' security initiatives, including: (a) promptly responding to TaskFills' security inquiries or requests for information; (b) providing accurate information in response to security investigations; (c) immediately reporting any suspected security breaches, vulnerabilities, or unauthorized Account access to TaskFills; (d) not publicly disclosing security vulnerabilities before giving TaskFills reasonable time to address them; and (e) cooperating with law enforcement if requested.
7.3 Monitoring and Enforcement. TaskFills actively monitors Platform activity, user conduct, and suspicious patterns for security purposes. TaskFills reserves the right to take any action necessary to protect Platform security and integrity, including but not limited to: (a) investigating suspected violations; (b) suspending or terminating Accounts engaged in security threats; (c) removing malicious Content; (d) taking legal action against users engaged in cybercrime or security violations; (e) reporting illegal activities to law enforcement; and (f) implementing additional security measures or restrictions as needed.
7.4 Vulnerability Disclosure. If you discover a security vulnerability in the Platform, you agree to report it responsibly to TaskFills at security@taskfills.com rather than publicly disclosing it or exploiting it. TaskFills will acknowledge receipt of vulnerability reports and work to address confirmed vulnerabilities in a timely manner.
8. Fees, Payments, and Financial Terms
8.1 Platform Fees. TaskFills charges certain fees for access to Platform services and features. Platform Fees may include, without limitation: (a) fees charged to Employers for posting gig or job listings; (b) fees charged to Employers for unlocking additional information about specific Taskers (such as Premium or Elite applicant profiles); (c) fees charged to Taskers for optional identity verification services or upgraded profile tiers; (d) promotional placement or featured‑listing fees; and (e) other usage‑based or subscription‑based fees described on the Platform. Taskers are not charged any applicant profile unlock fees.
8.2 Fee Schedule and Changes. Current Platform Fees are displayed on the Platform in your Account settings and during the payment process. TaskFills reserves the right to modify, add, or remove Platform Fees at any time in its sole discretion, subject to Applicable Law. For material fee increases on existing services, TaskFills will provide at least fifteen (15) days' written notice via email or Platform notification before the increase becomes effective. Your continued use of paid features after the effective date of a fee increase constitutes acceptance of the new fees. If you do not agree to fee changes, you may terminate paid services before the new fees take effect.
8.3 Non-Refundable Fees. Except as otherwise required by Applicable Law or expressly stated in these Terms, all Platform Fees, including gig or job posting fees and applicant profile unlock fees charged to Employers, are non‑refundable, non-transferable, and non-exchangeable. This applies to fees paid for job postings, profile unlocks, verification services, and promotional features, regardless of whether the Platform services are actually used after payment or whether expected results are achieved.
8.4 Taxes. You are responsible for determining and paying any applicable sales tax, value-added tax (VAT), goods and services tax (GST), consumption tax, excise tax, or other taxes applicable to your use of the Platform and payment of Platform Fees. If TaskFills is required by law to collect or remit taxes on your behalf, those taxes will be added to your fees, and you agree to pay the full amount including taxes. TaskFills may provide tax documentation upon request.
8.5 Payment Methods and Processing. Payment for Platform Fees is processed through Stripe, PayPal, or other authorized third-party payment processors. By providing payment information (including credit card, debit card, bank account, or other payment methods), you authorize TaskFills and its payment processors to charge your payment method for all applicable Platform Fees. You agree to keep your payment information current and accurate. Payment processing is subject to the payment processor's terms of service and privacy policy.
8.6 Failed Payments. If a payment fails due to insufficient funds, expired payment method, or other payment processor issues, TaskFills may: (a) retry the payment one or more times; (b) notify you of the failed payment; (c) suspend your access to paid features until payment is successful; or (d) terminate your Account if payment fails after reasonable retry attempts.
8.7 Gig Compensation Between Users. Compensation for gigs and tasks is negotiated solely between Employers and Taskers and occurs outside the Platform. TaskFills does not: (a) set gig compensation or hourly rates; (b) collect gig payments on behalf of users; (c) hold funds in escrow; (d) guarantee payment for completed work; (e) mediate payment disputes between users; (f) provide refunds for unsatisfactory work; or (g) enforce payment terms between users. All compensation arrangements and payment obligations are solely between Employers and Taskers.
8.8 Verification Rewards and Unlock Sharing. When an Employer unlocks a Premium or Elite Tasker profile, TaskFills may distribute a portion of the unlock fee to the Tasker as a Platform rewards payment. These rewards: (a) are subject to holding periods of fifteen (15) days for Premium and thirty (30) days for Elite to allow fraud investigation and chargeback prevention; (b) may be withheld, forfeited, or clawed back if the Tasker's Account is suspended or terminated before the holding period expires; (c) are not compensation for work and do not create an employment relationship; (d) are processed through Stripe Connect and subject to Stripe's terms and processing delays; (e) may be subject to Stripe's account holds or review; and (f) are subject to modification or elimination at TaskFills' sole discretion. Verification rewards and unlock‑fee revenue‑sharing are a feature of the Platform's marketplace model and are not contingent upon a Tasker performing or completing any gig or work arrangement.
8.9 Chargebacks and Payment Disputes. You are prohibited from initiating chargebacks, reversals, payment disputes, or payment processor refund requests related to Platform Fees except where legally required by consumer protection laws. Unauthorized chargebacks may result in: (a) immediate Account suspension; (b) loss of all pending and future rewards; (c) Account termination; (d) debt collection action; (e) legal action to recover chargeback amounts and associated fees; and (f) damage to your credit rating. If you dispute a Platform Fee charge, you must contact TaskFills' customer support first at support@taskfills.com before initiating any payment processor dispute.
8.10 Invoicing and Tax Reporting. TaskFills will provide invoices upon request for verification and record-keeping purposes. Users are solely responsible for all tax obligations associated with Platform use and gig work. TaskFills may be required by law to report payment information to relevant tax authorities, including filing Form 1099-MISC or equivalent tax reporting forms for U.S. tax purposes. Users consent to such reporting and agree to provide accurate tax identification information if requested.
8.11 Currency. All Platform Fees are priced and charged in U.S. dollars (USD) unless otherwise specified for specific jurisdictions. Users are responsible for any currency conversion fees, exchange rate fluctuations, or banking fees charged by their financial institutions or payment processors.
8.12 Promotional Offers and Credits. TaskFills may offer promotional discounts, free trial periods, or account credits from time to time. Any promotional offers are subject to terms specified at the time of offer and may be limited to new users, specific payment methods, or specific features. Promotional credits or discounts are non-transferable, expire after the specified period, and cannot be converted to cash.
9. Identity Verification Services
9.1 Verification Tiers. TaskFills offers optional identity verification services at multiple tiers to help Employers assess Tasker credibility:
section_9_1_unverified_term Unverified Tier: No verification is performed. The Tasker's profile displays an "Unverified" badge, indicating that TaskFills has not verified the user's identity.
section_9_1_premium_term Premium Tier: Verified identity confirmation using government-issued photo identification (such as driver's license, passport, or national ID card). Premium verification requires: (a) a non-refundable fee as displayed on the Platform; (b) submission of acceptable government-issued ID; (c) successful identity verification by third-party verification provider; (d) a fifteen (15) day holding period before rewards are released; and (e) agreement to verification terms and biometric data processing (for facial recognition matching).
section_9_1_elite_term Elite Tier: Enhanced verification including identity confirmation, document verification, biometric data collection and analysis, and fraud screening. Elite verification requires: (a) a higher non-refundable fee as displayed on the Platform; (b) submission of government-issued ID; (c) submission of additional documents (such as proof of address); (d) biometric data collection including facial recognition and/or fingerprint scanning; (e) successful verification by third-party verification provider; (f) a thirty (30) day holding period before rewards are released; and (g) agreement to comprehensive biometric data terms.
9.2 Verification Disclaimer. TaskFills provides identity verification services on an "as provided" basis without warranties. Identity verification:
(a) Confirms identity only and does not constitute a background check, criminal record check, reference verification, skills assessment, or endorsement of any kind;
(b) Does not guarantee the user's qualifications, trustworthiness, professional abilities, reliability, work quality, or suitability for any particular work;
(c) Does not relieve Employers of their independent responsibility to conduct due diligence, background checks (where legally required), skills assessment, reference checking, and other verification appropriate for their hiring decisions;
(d) Is performed by third-party verification service providers and is subject to their terms, accuracy standards, and service limitations;
(e) May be inaccurate, incomplete, or subject to error despite TaskFills' and its providers' reasonable efforts;
(f) Provides only a single point-in-time identity confirmation and does not guarantee ongoing compliance or truthfulness;
(g) Is subject to the limitations of available identity databases and verification methods; and
(h) Does not prevent fraud, misrepresentation, or illegal activity by verified users.
9.3 Biometric Data Collection and Processing. Elite verification and some Premium verification processes require collection and processing of biometric data. Users explicitly consent to:
(a) Collection of biometric data including facial recognition imagery, facial biometric templates, fingerprint scans, or other biometric identifiers;
(b) Processing, analysis, and storage of biometric data by TaskFills and its third-party verification providers;
(c) Use of biometric data solely for identity verification and fraud prevention purposes;
(d) Storage of biometric data during the verification process and for a reasonable period thereafter;
(e) Deletion or destruction of biometric data upon verification completion or Account termination, in accordance with applicable law;
(f) Non-use of biometric data for any purpose other than identity verification and fraud prevention; and
(g) Compliance with biometric data protection laws including BIPA (Illinois Biometric Information Privacy Act), CCPA, GDPR, and other applicable laws.
Users may withdraw consent to biometric data collection at any time by contacting TaskFills at support@taskfills.com. Withdrawal of biometric consent may result in loss of Premium or Elite verification status.
9.4 Verification Holding Periods. After successful identity verification, rewards payments from profile unlocks are subject to holding periods:
(a) Premium Tier: Fifteen (15) day holding period from verification completion;
(b) Elite Tier: Thirty (30) day holding period from verification completion.
Holding periods allow TaskFills to investigate potential fraud, verify the legitimacy of unlock transactions, and prevent chargeback losses. If during the holding period: (a) the Tasker's Account is suspended or terminated; (b) TaskFills detects fraud or policy violations; (c) a chargeback or payment dispute is initiated; or (d) other security concerns arise, TaskFills may forfeit all or part of pending rewards payments without refund or compensation.
9.5 Loss of Verification Status. TaskFills may revoke, suspend, or downgrade verification status at any time and for any reason, including but not limited to:
(a) Discovery that information provided during verification is inaccurate, false, or fraudulent;
(b) Violation of these Terms or Platform policies;
(c) Engagement in fraud, illegal activity, abuse, or misconduct;
(d) Negative feedback, complaints, or reports from other Platform users;
(e) Suspicious activity patterns or indicators of fraud;
(f) Failure to comply with verification terms or biometric data requirements;
(g) Changes in the user's identity information or biometric data that suggest fraud;
(h) TaskFills' determination that continued verification poses a risk to Platform integrity, other users, or TaskFills;
(i) Legal requirements or law enforcement requests; or
(j) Any other reason in TaskFills' sole discretion.
Loss of verification status results in: (a) removal of verification badge; (b) forfeiture of all pending and future rewards payments; (c) reduced profile visibility; (d) loss of access to Premium or Elite features; and (e) potential Account suspension or termination if verification was required for Account continuation.
9.6 Verification Errors and Disputes. If you believe your verification was wrongfully denied or revoked, you may submit a dispute within thirty (30) days by contacting support@taskfills.com with documentation supporting your position. TaskFills will review verification disputes but is not obligated to overturn its verification decisions. Verification dispute decisions are final and non-appealable except as required by law.
9.7 Third-Party Verification Providers. TaskFills contracts with third-party verification service providers (such as Jumio, IDology, or similar services) to perform identity verification and biometric analysis. These providers: (a) have access to your personal data and biometric data provided to them; (b) operate under their own privacy policies and terms of service; (c) are responsible for the accuracy and security of their verification processes; and (d) may retain biometric data subject to their policies and legal requirements. TaskFills is not responsible for third-party providers' accuracy, security practices, or data handling.
10. Intellectual Property Rights
10.1 Platform Intellectual Property. TaskFills and its licensors own and retain all right, title, and interest in the Platform and all Platform intellectual property, including but not limited to: (a) software, code, and algorithms; (b) design, layout, and user interface; (c) trade names, logos, trademarks, and service marks; (d) copyrights and original works of authorship; (e) business methods and processes; (f) databases and data compilations; (g) trade secrets and confidential information; (h) documentation and marketing materials; and (i) all improvements, modifications, and derivatives thereof. Users may not copy, modify, distribute, reverse engineer, decompile, or use Platform intellectual property without express written permission from TaskFills.
10.2 Limited License to Use Platform. Subject to your compliance with these Terms, TaskFills grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or business purposes. This license does not permit you to: (a) sublicense or resell Platform access; (b) use the Platform for competitive purposes; (c) modify or create derivative works; (d) remove or alter any proprietary notices; or (e) use the Platform in any manner that violates law or these Terms.
10.3 User Content License. By posting, uploading, or otherwise submitting Content to the Platform (including profiles, job postings, application materials, portfolio samples, messages, reviews, or any other information), you grant TaskFills a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to: (a) use, display, distribute, and reproduce your Content on the Platform; (b) create derivative works and adaptations of your Content; (c) combine your Content with other content or materials; (d) promote the Platform and the services offered through it using your Content; (e) enforce these Terms using your Content; and (f) sublicense these rights to other Platform users for purposes of viewing your profile or considering your applications. This license survives Account termination and continues indefinitely unless you request deletion of specific Content.
10.4 User Content Responsibility and Representations. You are solely responsible for Content you post to the Platform. You represent and warrant that:
(a) You own the Content or have obtained all necessary rights, licenses, consents, and permissions from third parties to post the Content;
(b) The Content does not infringe, violate, or misappropriate any third-party intellectual property rights, privacy rights, publicity rights, or personal rights;
(c) The Content complies with all Applicable Laws in all relevant jurisdictions;
(d) The Content is accurate, truthful, and not misleading;
(f) You have the right to grant the licenses described herein; and
(g) Posting the Content does not breach any confidentiality obligations or agreements with third parties.
You indemnify and hold TaskFills harmless from any claims, damages, or liabilities arising from Content you post, including intellectual property infringement claims, privacy violations, or other third-party claims.
10.5 Third-Party Intellectual Property Protection. TaskFills respects the intellectual property rights of others. Users must not post Content that infringes or violates the intellectual property rights of any third party, including but not limited to copyrights, trademarks, patents, trade secrets, or moral rights.
10.6 Copyright Infringement Notification (DMCA). If you believe that Content posted on the Platform infringes your copyright or intellectual property rights, you may submit a written notification of claimed copyright infringement to TaskFills' designated agent in compliance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. Your notification must include:
(a) Identification of the copyrighted work or intellectual property that you claim is infringed;
(b) Identification of the infringing Content and its location on the Platform (including URL or specific description);
(c) Your name, address, telephone number, and email address;
(d) A statement that you have a good faith belief that the use of the infringing material is not authorized by the copyright owner, their agent, or applicable law;
(e) A statement that the information in your notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner; and
(f) Your physical or electronic signature.
Send DMCA notices to: copyright@taskfills.com or to the mailing address provided in Section 26. TaskFills will investigate valid DMCA notices and take appropriate action, which may include removing or disabling access to infringing Content or terminating the Account of repeat infringers.
10.7 Trademark Notices. TaskFills™, the TaskFills logo, and other TaskFills trademarks are the exclusive property of CMR Business Services LLC. Users may not use these marks without prior written permission. Unauthorized use of TaskFills trademarks may violate trademark law and these Terms.
11. Privacy and Data Protection
11.1 Privacy Policy. TaskFills collects, uses, stores, and processes personal data in accordance with its Privacy Policy available at https://taskfills.com/privacy-policy, which is incorporated by reference into these Terms. You consent to the collection, use, disclosure, and processing of your personal data as described in the Privacy Policy.
11.2 Biometric Data. For users undergoing Premium or Elite verification, TaskFills may collect and process biometric data (including facial recognition data, facial geometry, fingerprint data, or other biometric identifiers). You expressly consent to:
(a) Collection, storage, and processing of biometric data for identity verification and fraud prevention purposes;
(b) Retention of biometric data for the period necessary to provide verification services and comply with legal requirements;
(c) Use of third-party service providers for biometric processing;
(d) Compliance with applicable biometric privacy laws including but not limited to the Illinois Biometric Information Privacy Act (BIPA), Texas Capture or Use of Biometric Identifiers Act, Washington Biometric Privacy Law, and similar state laws; and
(e) Destruction of biometric data upon termination of your Account or when no longer needed for verification purposes, subject to legal retention requirements.
11.3 Data Security. TaskFills implements reasonable administrative, technical, and physical security measures to protect your personal data. However, no security system is impenetrable, and TaskFills cannot guarantee the absolute security of your data. You are responsible for maintaining the confidentiality of your Account credentials and for any activity under your Account.
11.4 Data Sharing Between Users. When you apply for a gig as a Tasker, you consent to sharing your profile information with the Employer who posted the gig. When an Employer unlocks your Premium or Elite profile, you consent to sharing your contact information and full profile details with that Employer. TaskFills is not responsible for how Employers use or protect your personal data after it has been shared.
11.5 Employer Data Responsibilities. Employers who receive Tasker personal data through the Platform:
(a) Are solely responsible for complying with all applicable data protection laws (including GDPR, CCPA, etc.) in their handling of Tasker data;
(b) Must use Tasker data only for legitimate hiring and employment purposes;
(c) Must implement appropriate security measures to protect Tasker data;
(d) Must not sell, rent, or share Tasker data with third parties except as necessary for employment purposes or as required by law; and
(e) Must delete Tasker data when no longer needed for legitimate business purposes, subject to legal retention requirements.
11.6 International Data Transfers. TaskFills is based in the United States. If you are located outside the United States, your personal data will be transferred to, processed, and stored in the United States and possibly other countries. By using the Platform, you consent to such transfer and processing. TaskFills will implement appropriate safeguards for international data transfers as required by applicable law.
11.7 Data Subject Rights. Depending on your jurisdiction, you may have certain rights regarding your personal data, such as the right to access, correct, delete, or restrict processing of your data. To exercise these rights, contact privacy@taskfills.com. TaskFills will respond to legitimate requests in accordance with applicable law.
11.8 California Privacy Rights. If you are a California resident, you have specific privacy rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). For information about these rights and how to exercise them, see our Privacy Policy.
11.9 GDPR Compliance. For users in the European Economic Area, United Kingdom, or Switzerland, TaskFills processes personal data in compliance with the GDPR and UK GDPR. Our Data Processing Addendum is available upon request for qualifying users.
12. Communications and Consent
12.1 Electronic Communications. By using the Platform, you consent to receive electronic communications from TaskFills, including emails, in-app notifications, and text messages. These communications may include:
(a) Account-related communications (welcome messages, security alerts, password resets);
(b) Transactional communications (payment receipts, verification updates);
(c) Service-related communications (platform updates, maintenance notices);
(d) Promotional communications (new features, special offers); and
(e) Legal communications (policy updates, terms changes).
12.2 SMS/Text Message Consent. By providing your mobile phone number and checking the consent box, you expressly authorize TaskFills to send automated SMS/text messages to your mobile number for the following purposes:
(a) Account verification and security (one-time passwords, two-factor authentication);
(b) Important account notifications and security alerts;
(c) Application status updates and gig-related notifications;
(d) Payment and transaction confirmations; and
(e) Critical Platform updates requiring immediate attention.
12.3 SMS Message Frequency. Message frequency varies based on your account activity. You may receive approximately 0-10 messages per month, depending on your verification status, application activity, and account settings.
12.4 Carrier Charges. Standard message and data rates may apply. Check with your mobile carrier for details about your specific plan. TaskFills is not responsible for any carrier charges.
12.5 Opt-Out Rights. You may opt out of promotional SMS messages at any time by replying "STOP" to any message or by adjusting your notification preferences in your Account settings. However, you cannot opt out of transactional and security messages (such as verification codes and important account alerts) without disabling your Account. To opt out of all SMS messages, you must delete your Account.
12.6 Help and Support. For SMS assistance, reply "HELP" to any message or contact support@taskfills.com.
12.7 Phone Number Changes. If you change your mobile number, you must update your Account information promptly. You are responsible for any messages sent to your old number.
12.8 Emergency Communications. SMS messages from TaskFills are for informational purposes only and are not intended for emergency communications. In case of emergency, contact local emergency services.
13. Third-Party Services and Integrations
13.1 Third-Party Services. The Platform may integrate with or provide links to third-party services, including but not limited to:
(a) Payment processors (Stripe, PayPal);
(b) Identity verification services;
(c) Communication tools;
(d) Analytics services; and
(e) Other business tools and services.
13.2 No Endorsement. TaskFills does not endorse, guarantee, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to the third party's terms and privacy policies.
13.3 Stripe Connect. Tasker revenue sharing payments are processed through Stripe Connect. By using the Platform, Taskers agree to:
(a) Create and maintain a Stripe Connect account in good standing;
(b) Comply with Stripe's terms of service and connected account agreement;
(c) Provide accurate information to Stripe for identity verification;
(d) Accept that Stripe may withhold payments for fraud prevention or compliance reasons;
(e) Pay any applicable Stripe fees; and
(f) Resolve payment disputes directly with Stripe.
13.4 Payment Processor Disputes. TaskFills is not responsible for payment processor decisions, holds, freezes, or account terminations. If Stripe or another payment processor restricts your account, you must resolve the issue directly with the processor.
13.5 API Integrations. If TaskFills provides API access, such access is subject to separate API terms and conditions. Unauthorized use of TaskFills' API is prohibited and may result in Account termination and legal action.
14. Account Management and Termination
14.1 Account Suspension and Termination by TaskFills. TaskFills may, in its sole discretion and without liability, suspend or terminate your Account or access to the Platform for any reason, including but not limited to:
(a) Violation of these Terms or any Platform policies;
(b) Fraud, misrepresentation, or illegal activity;
(c) Failure to pay Platform Fees when due;
(d) Harassment, abuse, or discrimination against other users;
(e) Creating multiple Accounts to circumvent Platform limits;
(f) Attempting to bypass Platform Fees or payment systems;
(g) Posting prohibited content or job listings;
(h) Compromising Platform security or integrity;
(i) Receiving multiple legitimate complaints from other users; or
(j) Any other conduct that TaskFills deems harmful to the Platform or its users.
14.2 Effect of Termination. Upon Account termination:
(a) Your right to use the Platform immediately ceases;
(b) All outstanding Platform Fees become immediately due and payable;
(c) Any pending revenue sharing payments are forfeited;
(d) Your profile and Content may be removed from the Platform;
(e) You remain liable for any obligations incurred prior to termination; and
(f) Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 8 (Intellectual Property), 10 (Intellectual Property Rights), 11 (Privacy and Data Protection), 16 (Disclaimers and Warranties), 17 (Limitation of Liability), 18 (Indemnification), 19 (Dispute Resolution and Arbitration), and 20 (Governing Law and Jurisdiction).
14.3 User-Initiated Termination. You may terminate your Account at any time by contacting support@taskfills.com or using the Account deletion tools in your settings. User-initiated termination does not entitle you to refunds of any Platform Fees paid.
14.4 Account Deletion and Data Retention. Upon Account termination, TaskFills may retain certain information as required by law, for legitimate business purposes, or to enforce these Terms. For details on data retention, see our Privacy Policy.
14.5 Reactivation. Terminated Accounts generally cannot be reactivated. If you believe your Account was terminated in error, you may submit an appeal to support@taskfills.com within thirty (30) days of termination. TaskFills has sole discretion whether to reinstate an Account.
14.6 Inactive Accounts. TaskFills may deactivate Accounts that have been inactive for an extended period (typically 12 months or more). Before deactivation, TaskFills will attempt to notify you via email. Inactive Account deactivation may result in loss of data, pending payments, and verification status.
15. Dispute Resolution and Arbitration
15.1 Mandatory Arbitration. Except as otherwise provided in this Section, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your use of the Platform that cannot be resolved informally shall be resolved exclusively by binding arbitration on an individual basis, rather than in court.
15.2 Arbitration Agreement Scope. This arbitration agreement applies to all disputes between you and TaskFills, including but not limited to:
(a) Claims arising out of or relating to these Terms or any aspect of the Platform;
(b) Claims based on contract, tort, statute, fraud, misrepresentation, or any other legal theory;
(c) Claims that arose before these Terms or any prior agreement;
(d) Claims that are currently the subject of purported class action litigation in which you are not a member of a certified class; and
(e) Claims that may arise after termination of these Terms or your Account.
15.3 Exceptions to Arbitration. The following claims are not subject to arbitration:
(a) Claims that may be brought in small claims court;
(b) Claims for injunctive or equitable relief to prevent or stop unauthorized use or abuse of the Platform or intellectual property infringement;
(c) Claims related to the enforcement or validity of TaskFills' intellectual property rights; and
(d) Claims that are not permitted to be arbitrated under applicable law.
15.4 Arbitration Rules and Procedures. The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. If there is a conflict between these Terms and the arbitration rules, these Terms shall govern.
15.5 Arbitration Location and Format. Unless you and TaskFills agree otherwise, the arbitration will be conducted:
(a) In English;
(b) In New York State, USA, unless remote arbitration is mutually agreed;
(c) By a single neutral arbitrator; and
(d) On an individual basis, not as a class, collective, or representative proceeding.
15.6 Arbitration Fees. The AAA's rules will govern payment of filing, administrative, and arbitrator fees. Where required by law, TaskFills will pay certain arbitration fees. The arbitrator may reallocate fees and costs as permitted under applicable law.
15.7 Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TASKFILLS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
15.8 Opt-Out Right. You have the right to opt out of this arbitration agreement. To opt out, you must send a written notice to the address listed in Section 26 within thirty (30) days of the date you first agree to these Terms. Your notice must include:
(a) Your name and the email address associated with your Account;
(b) A clear statement that you wish to opt out of the arbitration agreement in Section 15; and
(c) Your signature (electronic or physical).
15.9 Survival. This arbitration agreement survives termination of these Terms and your Account.
15.10 Governing Arbitration Law. The Federal Arbitration Act and federal arbitration law apply to this arbitration agreement. State arbitration laws do not govern in any respect.
16. Disclaimers and Warranties
16.1 "AS IS" and "AS AVAILABLE" Basis. THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TASKFILLS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
16.2 No Guarantees. TaskFills does not guarantee, represent, or warrant that:
(a) The Platform will be uninterrupted, timely, secure, or error-free;
(b) The Platform will meet your specific requirements or expectations;
(c) The quality of any gigs, Taskers, Employers, or services will meet your expectations;
(d) Errors or defects in the Platform will be corrected;
(e) The Platform or servers are free of viruses or other harmful components; or
(f) Any results or outcomes from using the Platform will be achieved.
16.3 Marketplace Disclaimers. TaskFills specifically disclaims any responsibility or liability for:
(a) The accuracy, completeness, or truthfulness of user profiles, job postings, or other Content;
(b) The qualifications, skills, background, or reliability of any user;
(c) The quality, safety, or legality of gigs or work performed;
(d) The payment for or completion of any gig work;
(e) User conduct, including harassment, discrimination, or illegal activities;
(f) Verification accuracy or comprehensiveness; and
(g) Any interactions or relationships between users.
16.4 No Employment Relationship. TASKFILLS IS NOT AN EMPLOYER OF ANY USER. TASKFILLS DOES NOT AND SHALL NOT BE DEEMED TO DIRECT OR CONTROL ANY USER'S WORK OR PERFORMANCE. ALL WORK ARRANGEMENTS ARE SOLELY BETWEEN EMPLOYERS AND TASKERS.
16.5 No Professional Advice. TaskFills does not provide legal, tax, financial, or professional advice. You should consult qualified professionals for advice on these matters.
16.6 Jurisdiction-Specific Disclaimers. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. To the extent that TaskFills may not, as a matter of applicable law, disclaim any warranty or limit its liability, the scope and duration of such warranty and the extent of TaskFills' liability shall be the minimum permitted under such applicable law.
17. Limitation of Liability
17.1 Exclusion of Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TASKFILLS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
(a) Your use of or inability to use the Platform;
(b) Any conduct or content of any third party on the Platform;
(c) Any content obtained from the Platform;
(d) Unauthorized access, use, or alteration of your transmissions or content;
(e) Termination of your Account;
(f) Bugs, viruses, trojans, or the like that may be transmitted through the Platform;
(g) Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform; and
(h) User interactions or gig work arrangements, whether based on warranty, contract, tort (including negligence), or any other legal theory.
17.2 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF TASKFILLS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS FOR ANY CLAIMS UNDER THESE TERMS OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE GREATER OF:
(a) THE AMOUNT YOU HAVE PAID TASKFILLS IN PLATFORM FEES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY; OR
(b) ONE HUNDRED U.S. DOLLARS (USD $100).
17.3 User-to-User Disputes. TASKFILLS SHALL NOT BE LIABLE FOR ANY DISPUTES, CLAIMS, LOSSES, INJURIES, OR DAMAGES OF ANY KIND ARISING FROM OR RELATED TO INTERACTIONS BETWEEN USERS, INCLUDING BUT NOT LIMITED TO:
(a) Payment disputes for gig work;
(b) Workplace injuries or accidents;
(c) Misclassification of workers;
(d) Harassment, discrimination, or illegal conduct;
(e) Breach of contract between users;
(f) Property damage or theft; and
(g) Any other user-to-user disputes.
17.4 Essential Purpose. THE LIMITATIONS IN THIS SECTION 17 ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND TASKFILLS. TASKFILLS WOULD NOT BE ABLE TO PROVIDE THE PLATFORM TO YOU WITHOUT THESE LIMITATIONS.
17.5 Exceptions. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you. In such jurisdictions, TaskFills' liability is limited to the maximum extent permitted by law.
18. Indemnification
18.1 Indemnification Obligation. You agree to indemnify, defend, and hold harmless TaskFills, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
(a) Your use of the Platform;
(b) Your violation of these Terms or any applicable law;
(c) Your Content or any information you submit or transmit through the Platform;
(d) Your interactions with other users;
(e) Any gig work you perform or arrange through the Platform;
(f) Your failure to pay any taxes, fees, or other amounts owed;
(g) Any misrepresentation or false information you provide;
(h) Your violation of any third-party rights, including intellectual property, privacy, or publicity rights; and
(i) Any disputes between you and other users.
18.2 Defense and Settlement. TaskFills reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with TaskFills' defense of such claims. You may not settle any claim that affects TaskFills or its affiliates without TaskFills' prior written consent.
18.3 Employer-Specific Indemnification. Employers additionally agree to indemnify TaskFills for:
(a) Claims by Taskers for unpaid wages, overtime, or other compensation;
(b) Workplace injuries or workers' compensation claims;
(c) Employment misclassification claims;
(d) Discrimination, harassment, or retaliation claims;
(e) Violations of employment, labor, or tax laws; and
(f) Any other employment-related claims.
18.4 Tasker-Specific Indemnification. Taskers additionally agree to indemnify TaskFills for:
(a) Claims by Employers for unsatisfactory work, breach of contract, or negligence;
(b) Property damage caused while performing gig work;
(c) Violations of confidentiality or intellectual property rights;
(d) Professional malpractice or errors; and
(e) Any misrepresentation of qualifications or credentials.
18.5 Survival. This indemnification obligation survives termination of these Terms and your Account.
19. Governing Law and Jurisdiction
19.1 Governing Law. These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.
19.2 Jurisdiction. Subject to the arbitration agreement in Section 15, any legal suit, action, or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in New York County, New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
19.3 International Users. If you access the Platform from outside the United States, you are responsible for compliance with local laws. The Platform may not be appropriate or available for use in some jurisdictions.
19.4 Consumer Protection Laws. Notwithstanding the foregoing, if you are a consumer, you may benefit from any mandatory provisions of the law of the country where you reside. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.
19.5 Equitable Relief. You acknowledge that a breach of these Terms may cause irreparable harm to TaskFills for which monetary damages would be inadequate. In such cases, TaskFills may seek injunctive or other equitable relief without posting a bond or other security.
20. International Use and Compliance
20.1 Export Controls. The Platform may be subject to U.S. export control laws and regulations. You may not use, export, re-export, import, or transfer the Platform except as authorized by U.S. law and the laws of the jurisdiction in which you obtained the Platform.
20.2 Sanctions. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
20.3 International Compliance. Users are responsible for compliance with all local laws, regulations, and rules in their jurisdiction, including but not limited to:
(a) Data protection and privacy laws (GDPR, UK GDPR, PIPEDA, etc.);
(b) Employment and labor laws;
(c) Tax laws and reporting requirements;
(d) Professional licensing requirements;
(e) Immigration and work authorization laws; and
(f) Consumer protection laws.
20.4 Geographic Restrictions. TaskFills may restrict access to the Platform from certain jurisdictions. It is your responsibility to ensure your use of the Platform complies with the laws of your jurisdiction.
20.5 Language. The official language of these Terms is English. Any translations are provided for convenience only. In case of conflict between the English version and any translation, the English version prevails.
21. Service Availability and Downtime
21.1 No Uptime Guarantee. TaskFills does not guarantee uninterrupted or error-free operation of the Platform. The Platform may be unavailable due to:
(a) Scheduled maintenance;
(b) Emergency maintenance;
(c) Technical failures;
(d) Network issues;
(e) Force majeure events; or
(f) Other reasons beyond TaskFills' control.
21.2 No Compensation for Downtime. TaskFills does not provide refunds, credits, or compensation for Platform downtime or service interruptions, except as required by applicable law.
21.3 Best Efforts. TaskFills will use commercially reasonable efforts to maintain Platform availability and promptly address technical issues.
21.4 Service Modifications. TaskFills may modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. TaskFills is not liable to you or any third party for any modification, suspension, or discontinuation of the Platform.
22. Force Majeure
TaskFills shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials, pandemic, epidemic, public health emergency, government orders, internet or telecommunications failures, cyber attacks, or any other circumstances beyond TaskFills' reasonable control.
23. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and if such modification is not possible, such provision shall be severed from these Terms. The parties intend that the court should reform such provision to the maximum extent possible to give effect to the parties' original intent.
24. Assignment and Transfer
You may not assign, transfer, or sublicense these Terms or any of your rights or obligations hereunder without TaskFills' prior written consent. Any attempted assignment in violation of this provision shall be null and void. TaskFills may assign, transfer, or delegate these Terms or any of its rights and obligations without your consent. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
25. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Biometric Data Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and TaskFills regarding your use of the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral, concerning their subject matter. No waiver, modification, or amendment of any provision of these Terms shall be effective unless in writing and signed by both parties.
25.1 No Reliance. You acknowledge that you have not relied on any representation, undertaking, or promise given by or implied from anything said or written in negotiations between the parties prior to these Terms except as expressly stated in these Terms.
25.2 No Third-Party Beneficiaries. These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties.
25.3 Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.
25.4 No Waiver. The failure of TaskFills to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by TaskFills.
